Welcome to iAuto Marketplace ("Platform", "Website", "we", "our", "us").
These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, and related services.
By accessing, browsing, registering an account, posting advertisements, or using any part of our Platform, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you do not agree with these Terms, please discontinue use of the Platform.

The Platform provides an online marketplace where users may:
- List vehicles for sale
- List products for sale
- Submit vehicle loan applications
- Browse advertisements
- Contact buyers and sellers
- Purchase advertising packages
- Access AI-powered tools
- Use other marketplace services provided by us
We are not a party to transactions between buyers and sellers unless expressly stated.

You must be at least 18 years old or have legal capacity under Singapore law to use this Platform.
By creating an account, you represent that:
- information provided is accurate;
- you are legally entitled to sell or advertise listed vehicles;
- you will comply with applicable laws.

To create an account on the Platform, you must register using a valid mobile number and successfully complete the One-Time Password (OTP) ("OTP") verification process sent to that mobile number.
By creating an account, you acknowledge and agree that:
- The mobile number provided belongs to you, or you are authorized to use it.
- Successful OTP verification confirms that you have control of the registered mobile number at the time of registration.
- You are responsible for maintaining the security of your registered mobile number and any OTPs sent to it, and you must not disclose any OTP to another person.
- Any activity carried out through an account authenticated using your registered mobile number will be deemed to have been performed or authorized by you, unless otherwise required by applicable law.
- You must promptly update your registered mobile number if it changes and notify us immediately if you believe your account has been compromised.

You are responsible for:
- All activities conducted under your account.
- Keeping your account and profile information accurate and up to date.
- Maintaining the security of your account credentials and registered mobile number.
We reserve the right to suspend or terminate any account that we reasonably suspect has been used for fraudulent, unlawful, unauthorized, or abusive activities.
By creating and maintaining an account, you also consent to receive communications from the Platform via SMS, WhatsApp, or other electronic messaging channels associated with your registered mobile number. These communications may include:
- One-Time Passwords (OTPs) and login verification codes.
- Account, security, and authentication notifications.
- Listing-related notifications, enquiries, and transaction updates.
- Service announcements, maintenance notices, and other important Platform updates.
- Customer support communications.
- Promotional, marketing, and product-related communications, where permitted by applicable law.
You acknowledge that service-related and security communications are an essential part of your use of the Platform and cannot be opted out of. Where required by applicable law, you may opt out of receiving promotional or marketing communications at any time, but you will continue to receive communications necessary for the operation, security, and administration of your account and the Platform.

You agree that:
- listings must be truthful;
- photographs must accurately represent the vehicle;
- mileage, ownership and accident history must not be misrepresented;
- advertisements must comply with Singapore laws;
- you own or have authority to advertise the listed vehicle.
You must not post:
- misleading advertisements;
- stolen vehicles;
- counterfeit documents;
- illegal products;
- spam;
- offensive or unlawful content.
We may edit, remove or reject listings without notice.

You agree that:
- listings must be truthful;

- product details and benefits must not be misrepresented;
- advertisements must comply with Singapore laws;
- you own or have authority to advertise the listed product.
You must not post:
- misleading advertisements;
- stolen items;
- counterfeit documents;
- illegal products;
- spam;
- offensive or unlawful content.
We may edit, remove or reject listings without notice.

The Platform may allow users to submit loan enquiries or financing applications to participating finance providers.
By using this service, you acknowledge and agree that:
- The Platform acts solely as a facilitator to transmit your application and supporting information to participating finance providers.
- The Platform is not a bank, finance company, moneylender or financial adviser, and does not provide financial or credit advice.
- Loan approvals, interest rates, financing terms and credit decisions are determined solely by the relevant finance provider.
- Submission of an application does not guarantee approval or any financing offer.
- By submitting a loan application, you authorise the Platform to disclose your application and personal data to participating finance providers for the purpose of processing and assessing your financing request, in accordance with our Privacy Policy.
- Any financing agreement is solely between you and the relevant finance provider, and the Platform is not responsible for any decision, agreement or dispute arising from such financing.

The Platform merely facilitates introductions between buyers and sellers.
We do not guarantee:
- vehicle condition;
- ownership;
- mileage accuracy;
- financing approval;
- successful transactions;
- payment security.
Users are responsible for conducting their own due diligence before completing transactions.

The Platform may use Artificial Intelligence ("AI") technologies to provide services including but not limited to:
- generating advertisement descriptions;
- improving listing quality;
- image enhancement;
- recommending prices;
- detecting duplicate or fraudulent listings;
- chat assistance;
- customer support;
- search recommendations;
- translation;
- content moderation.
By using these AI-powered features, you acknowledge and consent to the processing of information you submit for the purpose of providing and improving such features.
AI-generated content may occasionally contain inaccuracies. Users remain solely responsible for verifying all information before publishing or relying upon AI-generated output.
We do not warrant that AI-generated information is complete, accurate or suitable for any particular purpose.

You retain ownership of your content.
By uploading content, you grant us a worldwide, royalty-free, non-exclusive licence to:
- display;
- reproduce;
- publish;
- modify;
- distribute;
- promote
such content solely for operating and promoting the Platform.

All website content including:
- software
- logos
- trademarks
- graphics
- AI systems
- databases
- designs
remain our intellectual property unless otherwise stated.
No content may be copied without written permission.

You must not:
- impersonate others;
- post false advertisements;
- manipulate pricing;
- scrape data;
- reverse engineer the Platform;
- interfere with Platform security;
- upload malware;
- abuse AI services;
- use automated bots without permission.

Certain services may require payment.
Fees are displayed before purchase.
Unless otherwise stated:
- payments are non-refundable;
- advertising packages cannot be transferred.

We may suspend or terminate accounts if users:
- breach these Terms;
- engage in fraud;
- misuse AI services;
- violate applicable laws;
- damage the Platform.

To the fullest extent permitted under Singapore law:
We are not liable for:
- inaccurate listings;
- failed transactions;
- vehicle defects;
- payment disputes;
- user misconduct;
- AI-generated errors;
- indirect or consequential losses;
- business interruption;
- loss of profits;
- data loss.
Our total liability shall not exceed the fees paid by you to us within the preceding twelve (12) months.
Nothing in these Terms excludes liability which cannot legally be excluded under Singapore law.

You agree to indemnify and hold harmless the Platform, its directors, employees and affiliates against claims arising from:
- your listings;
- your transactions;
- your breach of these Terms;
- misuse of AI services;
- infringement of third-party rights.

Your use of the Platform is also governed by our Privacy Policy.
Please read the Privacy Policy carefully before using the Platform.

The Platform may integrate:
- Software solutions providers;
- payment gateways;
- AI providers;
- mapping services;
- messaging platforms.
Use of such services may also be subject to their own terms.

We do not guarantee uninterrupted availability.
We may:
- perform maintenance;
- modify features;
- discontinue services;
- update AI models;
- restrict access.

We may revise these Terms at any time.
Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.
The parties submit to the exclusive jurisdiction of the Singapore courts for disputes arising out of or relating to these Terms.
